Exclusive Remedy
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDYFOR ANY CLAIM ARISING OUT OF OR RELATING TO A SIMIX PRODUCT SHALL BE, AT SIMIX USA’S OPTION:
- Replacement of the nonconforming product, or
- Refund of the purchase price actually paid for the product
IN NO EVENT SHALL SIMIX USA BE LIABLE FOR INSTALLATION COSTS, LABOR COSTS, REMOVAL COSTS, DOWNTIME, OR ANY OTHER ASSOCIATED OR CONSEQUENTIAL EXPENSES.
IN NO EVENT SHALL SIMIX USA’S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Indemnification
You agree to defend, indemnify, and hold harmless SIMIX USA, its officers, directors, employees, affiliates, and agents from and against any claims, damages, liabilities, losses, and expenses arising out of or related to your violation of these Terms or misuse of the Website.

SIMIX USA shall not be liable for any failure or delay in performance under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, fires, floods, earthquakes, pandemics, labor disputes, supply chain disruptions, governmental actions, war, terrorism, power failures, or failures of telecommunications or internet services.

Dealer and Distributor Terms (Addendum)
The following terms apply in addition to these Terms of Use for authorized SIMIX dealers, distributors, resellers, and channel partners (collectively, "Dealers"). In the event of a conflict between this section and other provisions of these Terms, this section shall control with respect to Dealers.
Authorization and Scope
Dealers are authorized to market and resell SIMIX products solely in accordance with written agreements, approved marketing materials, and pricing policies issued by SIMIX USA. No Dealer is authorized to make representations, warranties, or guarantees on behalf of SIMIX USA beyond those expressly approved in writing.
No Additional Warranties
Dealers shall not modify, expand, or extend any warranty, remedy, or product claim. SIMIX USA DISCLAIMS ANY LIABILITY FOR REPRESENTATIONS OR PROMISES MADE BY DEALERS THAT ARE NOT EXPRESSLY AUTHORIZED.
Compliance and Safety
Dealers are responsible for ensuring that all end users receive applicable SDS/MSDS documentation and product safety information and that products are stored, handled, marketed, and sold in compliance with all applicable laws and regulations.
Indemnification by Dealer
Dealers agree to indemnify, defend, and hold harmless SIMIX USA from and against any claims, damages, losses, liabilities, or expenses arising out of or related to:
- Unauthorized representations or warranties
- Improper storage, handling, or resale of products
- Failure to provide required safety or regulatory disclosures
Termination of Dealer Rights
SIMIX USA reserves the right to suspend or terminate a dealer's authorization at any time for a violation of these Terms or applicable dealer agreements.
